Every five years, U.S. businesses and individuals with significant foreign investments face an important reporting obligation: the BE-10 Benchmark Survey. Conducted by the Bureau of Economic Analysis (BEA), this comprehensive survey provides vital insights into U.S. direct investment abroad. As we approach the 2025 filing deadline, here’s what you need to know:

Who Needs to File?

The BE-10 survey casts a wide net. Any U.S. person or entity that owns or controls 10% or more of the voting securities of a foreign business enterprise must file. This includes:

  • Corporations
  • Partnerships
  • Individuals
  • Trusts and estates
  • Non-profit organizations

Importantly, you’re required to file even if the BEA hasn’t contacted you directly.

What Forms Are Required?

The BE-10 survey consists of multiple forms, tailored to different types of investments:

  • BE-10A: This is the cornerstone form, covering the consolidated U.S. parent company.
  • BE-10B: For majority-owned foreign affiliates with assets, sales, or net income exceeding $80 million.
  • BE-10C: Used for:
    • Majority-owned foreign affiliates with assets, sales, or net income between $25 million and $80 million
    • Minority-owned affiliates exceeding $25 million
  • BE-10D: For smaller foreign affiliates with assets, sales, and net income below $25 million.

Critical Deadlines

Mark your calendars for these important dates:

  • May 30, 2025: Deadline for entities filing fewer than 50 foreign affiliate forms.
  • June 30, 2025: Deadline for entities filing 50 or more foreign affiliate forms.
